What Is the AURIC NDA
The AURIC Non-Disclosure Agreement is a legally binding mutual agreement entered into between AURIC Holding Ltd. and every prospective or active client prior to the commencement of any service relationship. It is not optional. It is not a formality. It is the foundation upon which every AURIC relationship is built.
The NDA is mutual — meaning both parties are bound by its terms. AURIC agrees to protect your confidential information with the same vigor that you agree to protect ours. This is the AURIC standard.
The agreement is executed digitally and securely before any discovery call, onboarding conversation, or service delivery takes place.

Why the NDA Exists
AURIC operates at the intersection of trust and access. Our clients are high-net-worth, very high-net-worth, and ultra high-net-worth individuals whose privacy is not a preference — it is a requirement. The NDA exists to protect that privacy absolutely and to ensure that both parties enter the relationship with complete clarity about their obligations.
For our clients, the NDA ensures that your identity, your lifestyle, your financial preferences, your personal habits, your requests, and your association with AURIC will never be disclosed, referenced, photographed, posted, marketed, or shared in any form — without your explicit written consent.
For AURIC, the NDA ensures that our proprietary vendor network, internal processes, pricing structures, client relationships, and curation methodology remain confidential and protected.

What the NDA Protects
What AURIC Protects for You
- Your full name, identity, and any identifying information
- Your association with AURIC as a client or prospective client
- Your lifestyle preferences, personal habits, and service requests
- Your financial information, budget parameters, and payment details
- Any personal, professional, or family-related information shared during the service relationship
- Any photographs, locations, events, or experiences arranged through AURIC on your behalf
- All communications between you and AURIC
What You Agree to Protect for AURIC
- AURIC's proprietary vendor network, including names, relationships, and access arrangements
- AURIC's internal pricing structures, service tiers, and package configurations
- AURIC's curation methodology, operational processes, and service delivery systems
- The identities of other AURIC clients
- Any internal communications, documents, or materials shared by AURIC in the course of service delivery
- AURIC's business relationships, partnerships, and strategic information
Section 04
When the NDA Is Signed
The NDA is signed digitally in two stages of the AURIC relationship:
- Stage 1 — Prior to Discovery Call: Before any discovery call is scheduled, all prospective clients are required to execute the AURIC NDA digitally. This ensures that even preliminary conversations about your lifestyle, needs, and interests are protected from the first word.
- Stage 2 — Prior to Service Commencement: A comprehensive NDA is incorporated into your Service Agreement prior to onboarding. This agreement governs the full scope of your client relationship with AURIC.
Digital signatures are legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Florida Electronic Signature Act. Your digital signature carries the same legal weight as a handwritten signature.
Section 05
Term & Duration
The AURIC NDA remains in full force and effect for the entire duration of the client relationship and for a period of three (3) years following the termination or expiration of the service agreement, regardless of the reason for termination.
Certain provisions — including those related to client identity, personal lifestyle details, and financial information — survive indefinitely beyond the three-year period and shall never be disclosed under any circumstances.
This term length reflects the industry standard for luxury and high-net-worth service agreements and has been selected to provide meaningful, enforceable protection for both parties while remaining reasonable under applicable law.
Section 06
Consequences of Breach
A breach of the AURIC NDA is taken with the utmost seriousness. The following remedies are available to the non-breaching party in the event of a violation:
Injunctive Relief
The non-breaching party shall be entitled to seek immediate injunctive relief in a court of competent jurisdiction to prevent continued or threatened disclosure of confidential information. The parties acknowledge that monetary damages alone may be insufficient to remedy a breach and that injunctive relief is an appropriate and necessary remedy. No bond or other security shall be required in connection with such relief.
Monetary Damages
In addition to injunctive relief, the non-breaching party shall be entitled to seek actual damages, consequential damages, and all other damages permitted by law resulting from the breach. Given the nature of AURIC's services and the high-net-worth clientele involved, actual damages may include but are not limited to:
- Loss of business relationships and client referrals
- Reputational harm and loss of goodwill
- Costs associated with remediation and notification
- Any financial harm suffered by the aggrieved client as a direct result of the disclosure
- Lost revenue attributable to the breach
Liquidated Damages
Where actual damages are difficult to calculate with certainty — as is often the case with reputational harm — the breaching party agrees to pay liquidated damages in an amount to be specified in the executed NDA. This amount is not a penalty but a reasonable pre-estimate of the harm caused by a breach of this nature. Liquidated damages do not limit the non-breaching party's right to pursue additional remedies where actual damages exceed the liquidated amount.
Attorney's Fees & Costs
In any legal proceeding arising from a breach of the AURIC NDA, the prevailing party shall be entitled to recover reasonable attorney's fees, court costs, and all other costs of enforcement from the breaching party.
Termination of Services
A breach of the NDA by a client shall constitute grounds for immediate termination of the service agreement by AURIC without refund of any prepaid retainer amounts. A breach by AURIC shall entitle the client to immediate termination with a full refund of the current month's retainer.
Important: The remedies listed above are cumulative and not exclusive. Pursuit of one remedy does not preclude the pursuit of any other remedy available at law or in equity. AURIC takes the protection of its clients — and the protection of its own confidential information — with equal seriousness.
Section 07
Exceptions to Confidentiality
The confidentiality obligations under the AURIC NDA do not apply to information that:
- Was already in the public domain at the time of disclosure through no fault of the receiving party
- Was independently developed by the receiving party without use of or reference to the disclosing party's confidential information
- Was received from a third party who had the legal right to disclose it without restriction
- Is required to be disclosed by applicable law, court order, or governmental authority — provided that the disclosing party gives the other party prompt written notice and cooperates in seeking a protective order
Section 08
Governing Law & Jurisdiction
The AURIC NDA and all disputes arising from it shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Duval County, Florida for the resolution of any disputes arising under or related to the NDA.

The complete AURIC Non-Disclosure Agreement — including all specific terms, liquidated damages amounts, and binding provisions — is provided to prospective clients upon completion of the inquiry form and prior to the discovery call.
